Upanishad is made up of ‘Upa’, ‘Ni’ and ‘Shad’. ‘Upa’ means to move closer, it also means to sit close and listen to what is being said, not just in the physical sense. It means the mind moves closer to that of the teacher. The wavelength of the teacher and the student becomes identical so that there is an understanding between the two. In that state, a lot of spiritual transference takes place.
